NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS EXERCISING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Dunelm Group plc (the "Company") has been notified of the following dealings in the Company's shares by its directors and their connected persons:  

On 22 February 2012, David Stead, the Finance Director, exercised options over 7,710 ordinary shares of one pence each under the Company's Savings-Related Share Option Scheme. The option price was 124.5 pence per ordinary share.  Mr Stead has then transferred 7,710 ordinary shares of 1 pence each to his wife, Jane Stead, for nil consideration. 

Following the transactions set out above, Mr Stead is beneficially interested in 625,426 ordinary shares of 1 pence each in the Company, 0.3% of the Company's issued ordinary share capital.
