Dunedin Enterprise Inv Trust PLC 27 February 2006 27 February 2006 Dunedin Enterprise Investment Trust plc: Proposed Sale of Calsafe Group (Holdings) Ltd -------------------------------------------------------------------------------- Dunedin Enterprise Investment Trust PLC ('Dunedin Enterprise'), the private equity investment trust which invests in lower mid-market management buyouts, management buyins and growing businesses, announces that it has entered into a conditional agreement for the sale of its holding in Calsafe Group (Holdings) Ltd ('Calsafe'). Dunedin Enterprise currently owns 32.4% of the fully diluted ordinary share capital of Calsafe, a company which manufactures and erects modular buildings through its subsidiary company, Caledonian Building Systems Ltd. The Shareholders of Calsafe have entered into a conditional contract with Champion Enterprises Inc USA ('Champion'), a Michigan-based corporation quoted on the New York Stock Exchange, that is expected to lead to the sale of Calsafe to Champion on 7 April 2006. Champion announced the proposed acquisition to the Securities and Exchange Commission on 27 February, 2006. The sale of Calsafe to Champion would represent an uplift of £6.6 million to Dunedin Enterprise's valuation of its holding in Calsafe at 31 October 2005 (which equates to an uplift of 22p per ordinary share).
