                     PROPOSED TRANSACTION WITH PRIMEENT PLC


Billam PLC ('Billam' or the 'Company') announces that it has entered into a
conditional agreement to exchange its interests in Polydata Limited ('Polydata'),
one of its investee companies which acts as a holding company for Epinet
Limited ('Epinet') and Medi Info Net Limited ('Medi Info'), for a holding of
approximately 33.57% in PrimeEnt Plc.


Epinet specialises in the supply of e-commerce and e-infrastructure solutions
principally to the healthcare sector, including design, hosting and associated
services such as e-messaging. It also offers disaster avoidance and recovery
packages.


Medi Info supplies software packages to organisations in the healthcare sector
and in particular to the National Health Service including: intranet, content,
software engineering, installation, maintenance and training.


Completion of the proposed transaction is subject to and conditional upon, among
other things:


•    the receipt by Polydata from placees of not less than
     £250,000 pursuant to a private placing;

•    the completion of agreements for the acquisition by Polydata
     of Epinet and Medi Info; and


•    approval by the PrimeEnt Plc shareholders.
