Poll Results of General Meeting

 

 

discoverIE Group plc (LSE: DSCV, "discoverIE" or "The Group"), a leading international designer, manufacturer and supplier of customised electronics to industry, announces that, at the General Meeting held earlier today, the resolution as set out in the Notice of the Meeting were passed on a poll.  The following table shows the votes cast on the resolution:

a)    To authorise the appropriations of distributable profits of the Company (as shown in the interim accounts of the Company) to the payment of the Relevant Dividends having a total value of £7,724,202.76.

b)    To authorise the appropriation of distributable reserves in relation to the EBT payments by way of a loan totalling less than £100,000

c)     To waive and release any and all claims which the Company has or may have against each of its shareholders who appeared on the register of shareholders on the relevant record date for each Relevant Dividend arising out of or in connection with the payment of the Relevant Dividend.

d)    To waive and release any and all claims which the Company has or may have against each of its Related Party Directors arising out of or in connection with the approval, declaration or payment of the Relevant Dividends.

As at today's date discoverIE Group plc has 73,335,194 ordinary shares in issue.

A copy of the resolutions approved by Shareholders will be placed on the National Storage Mechanism.
