                      Completion of Disposal of Solartron


The Roxboro Group PLC, the international specialist electronics group, is
pleased to announce that following the approval of the Resolution at the EGM
held earlier today, and all other conditions having also been fulfilled,
completion of the Disposal of Solartron to Ametek for £42.1m has now taken
place.


Two copies of the full text of the Resolution were submitted to the UK Listing
Authority on 28 June 2005 for publication through the Document Viewing Facility,

The 2nd EGM in relation to the C Share Issue, the change of name of Roxboro to
Dialight, the New Employee Share Scheme and the amending of Roxboro's Articles

Bank Street, London E14 5JJ at 9.30 a.m. on 29 September 2005.
