                            Notification of Interest


The Company received notification on 23 January 2003 from Hermes Administration
Services Limited, pursuant to section 198 of the Companies Act 1985 (as amended
by the Companies Act 1989), that BriTel Fund Trustees Limited and The Trustees
of BT Pension Scheme have an interest in 2,981,163 ordinary 1p shares in the
Company, which represents 5.785 per cent. of the Company's issued ordinary share
capital.
