                   DECHRA PHARMACEUTICALS PLC (the 'Company')

                             Holding in the Company


The Company received notification on 8 May 2002, in accordance with the
provisions of sections 198-202 of the Companies Act 1985 (as amended by the
Companies Act 1989), that following a sale of 100,000 ordinary 1p share in the
Company ('Shares') Morley Fund Management Limited (a subsidiary of CGNU plc) has
an interest in 2,457,676 Shares, which represents 4.89 per cent. of the
Company's issued ordinary share capital. The Company was notified at the same
time that CGNU plc has an interest in 2,457,676 Shares, which represents 4.89
per cent. of the Company's issued ordinary share capital.
