DE LA RUE PLC - NOTIFICATION OF DIRECTORS' INTERESTS COMPANIES ACT 1985


De La Rue plc (the 'Company') announces that it received notification on 19
September 2006 and 20 September 2006 for the purposes of Section 329 of the
Companies Act 1985 of the following transaction by Bachmann Trust Company
Limited as trustee of the De La Rue Employee Share Ownership Trust (the 'Trust')
in ordinary Shares of 277/9 pence each ('Ordinary Shares').

The Trust was established by De La Rue plc for the benefit of employees of the
Company and its subsidiaries in conjunction with the Company's executive share
option scheme. The transactions were made on behalf of beneficiaries of the
Company's executive share options scheme (not any director or other person
discharging managerial responsibilities).


Following the above transaction the following executive directors, Mr L M Quinn,
Chief Executive and Mr S A King, Group Finance Director, have an interest in the
balance held by the Trust of 2,365,232 Ordinary Shares (1.45% of the Company's
issued share capital) as potential beneficiaries of the Trust.


De La Rue Qualifying Employee Share Ownership


The Company was notified on 19 September 2006, that the De La Rue Qualifying
Employee Share Ownership (the 'QUEST') on 19 September 2006 transferred 1,212
shares of 277/9p each in the Company pursuant to the exercise of options under
the De La Rue Sharesave Scheme. The number of De La Rue plc shares now held by
the QUEST is 194,733, 0.1195% of the Company's issued share capital.


Following the above transaction Mr L M Quinn, Chief Executive and Mr S A King,
Group Finance Director, have an interest in the balance held by the Trust as
potential beneficiaries of the Trust although neither is participating in the
exercise of options referred to above.
