Statement re Legal Action

DCC PLC 6 February 2002 No Allegation of Unlawful Dealings 6 February 2002 DCC plc, the business support services group, wishes to state that reports in some Irish newspapers on Tuesday 5 February 2002 that Eagle Star Life Assurance Company of Ireland Limited ('Eagle Star') and Hibernian Investment Managers Limited ('Hibernian') are alleging that transactions by Lotus Green, a DCC subsidiary, in Fyffes shares in February 2000 were 'unlawful dealings' are not correct. The affidavits sent to DCC by Eagle Star and Hibernian refer to the Statement of Claim issued on behalf of Fyffes plc against DCC, Lotus Green and others. In the affidavits Eagle Star and Hibernian state that they have been advised by their legal advisers that 'if the facts alleged in the said Fyffes Statement of Claim are true' they are entitled to claim compensation from DCC and others. The Eagle Star and Hibernian affidavits do not allege unlawful dealings by DCC, Lotus Green or others, as reported. DCC has been informed by both Eagle Star and Hibernian that their actions have been taken in order to comply with the limitation period for proceedings under Part V of the Companies Act, 1990 so as to preserve their respective positions. DCC reiterates the statement by the Board of DCC in the Company's Stock Exchange Announcement of 24 January 2002 that the allegations by Fyffes are wholly unjustified and utterly without merit.
