Result of General Meeting

CyanConnode Holdings plc (AIM:CYAN.L), the integrated system and software design company delivering mesh based flexible wireless solutions for utility metering and lighting control, is pleased to announce that at the Company's General Meeting held at 11.00 a.m. today, all of the resolutions proposed to shareholders were duly passed.

Following such approvals and subject only to Admission, the placing and subscription of 1,906,912,392 ordinary shares of 0.01 pence each ("Ordinary Shares") as announced on 17 March 2017, is now complete.

Application has been made for the new Ordinary Shares to be admitted to trading on AIM ("Admission") and Admission is expected to become effective at 8.00 a.m. on 4 April 2017 for the First EIS Shares, 6 April 2017 for the Second EIS Shares and 7 April 2017 for the General Placing Shares, as defined in the Circular posted to shareholders on 17 March 2017.

Following the issue of these 1,906,912,392 new Ordinary Shares and the issue on 3 April 2017 of 12,818,851 Ordinary Shares pursuant to its block listing arrangements, the Company's issued share capital will consist of 17,822,802,258 Ordinary Shares.  The Company does not hold any shares in treasury. This figure of 17,822,802,258 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure Guidance and Transparency Rules.
