Result of Placing of Treasury Shares

The Company is pleased to announce that it has successfully raised £23.6 million and €0.6 million pursuant to the placing of treasury shares announced on 5 June 2018.

The Company will therefore sell, from treasury, 20,663,959 Sterling ordinary shares at a price of £1.1397 per sterling share and 496,442 Euro ordinary shares at a price of €1.1086 per Euro share, equal to a 1 per cent. premium to the last-published cum-income NAV per Share for each share class (being the NAVs per share announced on 4 July 2018 in respect of 22 June 2018).

After the placing of the treasury shares, there will be 321,612,653 Sterling ordinary shares in issue and 36,262,531 Sterling treasury shares remaining and 121,840,573 Euro ordinary shares in issue and 9,503,558 Euro treasury shares remaining. Each Sterling share carries the right to 1.17 votes and each Euro share carries the right to 1 vote.  Accordingly, the total number of voting rights of the Sterling shares is 376,286,804 and of the Euro shares is 121,840,573. The total number of voting rights in the Company is therefore 498,127,377.

The Board is aware that a number of investors showed an interest in subscribing for Shares in the placing but were not in a position to subscribe in time for the placing close.  Recognising this, the Board will consider selling Shares from treasury in order to meet such demand arising in due course.  It is anticipated that any treasury Shares sold in this respect would also be sold at a price equal to a 1 per cent. premium to the last-published cum-income NAV per Share at the time of sale.
