Voting Rights and Capital



In accordance with transitional provision 6 of the Transparency Directive, the
Company's issued share capital as at 9th January 2007 consists of 894,083,286
ordinary shares of 0.1 pence each and all of these have voting rights.

This figure should be used by shareholders as the correct denominator for
calculating the percentage of voting rights which they hold.
