Carphone Warehouse Group plc ("Company")

Listing of Shares

The Company has made an application to the UK Listing Authority for 4,930,000 ordinary shares of 0.1 pence each to be admitted to the Official List and for them to be admitted to trading on the London Stock Exchange.

The application comprises a block listing of 4,930,000 shares under the Best Buy Europe LTIP and the Participation Plan (as defined in the Company prospectus published on 6 June 2013), pursuant to a resolution passed at a meeting of the shareholders of the Company on 24 June 2013. The Company's Employee Share Ownership Trust has confirmed to the Company that it intends to purchase of all these shares that are issued to participants under such schemes.

It is expected that admission of the shares will take place and dealings will commence on 15 July 2013.
