The Carphone Warehouse Group PLC ('Carphone Warehouse')

EU Clearance for AOL acquisition


Carphone Warehouse has now received clearance under the EU Merger Regulation for
the acquisition of the UK customer base of AOL's Internet access business from
Time Warner Inc.  Both parties are now proceeding to complete the transaction by
the end of December 2006.
