Carphone Warehouse Group PLC 14 April 2005 Thursday 14 April 2005 Embargoed until 0700 hours The Carphone Warehouse Group PLC Board Appointments The Board of the Carphone Warehouse Group Plc ('Carphone Warehouse') today announces that Hans Snook has decided to step down as Chairman and to retire from the Carphone Warehouse board with effect from 28 July 2005, effective at the Annual General Meeting to be held on that day. John Gildersleeve, currently a non-executive director, will become Chairman of Carphone Warehouse at that time. In addition, Carphone Warehouse announces that David Goldie, currently Chief Operating Officer, Telecoms, is to be appointed as a new executive director of the board on the same date. Commenting, Hans Snook said: 'When I became Chairman of Carphone Warehouse, I undertook to do the job for two years. It will be three years come this May, and it is time for me to do new things. I've enjoyed every minute of Carphone. It's a great business. It's come a long way and it has enormous potential. I will leave knowing I played a part and that the business has all the strength of board, management and market position to continue its momentum, and I know that John will make a great successor. Part of our strength of management is also shown by David's appointment to the board, reflecting the first class job he is doing in leading our fixed line services, both in the business market with Opal and in the residential market with TalkTalk.' For the financial year to March 2002, Carphone Warehouse reported pre-tax profit of £46.8 million and headline earnings per share of 4.4p. It then had 1,104 retail stores. By the year to March 2004 pre-tax profits had grown to £76.3m and earnings per share to 6.8p, with market estimates indicating further substantial growth in the year to March 2005. It now has 1,461 retail stores in 10 countries including the UK. 2. Hans Snook became Chairman of Carphone Warehouse on 1 May 2002. Hans was the founder Chief Executive of Orange. He articulated the vision of the 'wirefree future' and, under Hans' leadership, Orange had a profound impact on the mobile market both in the UK and globally. In June 1996, Orange become the youngest ever company to enter the FTSE 100. Hans stepped down from the group at the end of 2001. He remains Chairman of Orange Thailand. 3. John Gildersleeve was a Director of Tesco plc for 20 years until February 2004. He has a wide experience of both retailing, marketing and management. He is currently Chairman of Gallaher Group plc and Deputy Chairman of EMI Group plc, and has previously served on the boards of Vodafone Group plc and Lloyds TSB Group plc. 4. David Goldie, 41, was Chief Executive of Opal Telecom when the company was acquired by Carphone Warehouse in November 2002. He was appointed Chief Operating Officer, Telecoms, in 2003, with responsibility for all of the Group's fixed line activities across the UK and Europe. Prior to Opal, from 1987 to 1999 David was Managing Director of Martin Dawes Telecommunications, the UK's largest mobile phone service provider. This business was sold to BT Cellnet in 1999.
