SUBJECT:      Issue of Equity

The Board of F&C Managed Portfolio Trust plc ("the Company") announces that on 25 February 2015 the Company allotted 125,000 Income shares of 10p each, from the Company's general business purposes blocklisting facility at a price of 124p per Income share. These shares will rank pari passu with the existing Income shares in issue and dealings are expected to commence on 27 February 2015. The Company also sold 15,000 Growth shares of 10p each from treasury at a price of 149.25p per Growth share and allotted 35,000 Growth shares of 10p each, from the Company's general business purposes blocklisting facility at a price of 149.25p per Growth share. These shares will rank pari passu with the existing Growth shares in issue and dealings are expected to commence on 27 February 2015.

Following this issue, the Company has the ability to issue 366,010 Income shares and 1,276,050 Growth shares under its blocklisting facilities.

Following this transaction the Company's issued share capital consists of 31,209,936 Income shares and 27,439,843 Growth shares.  Therefore the total number of shares with voting rights in F&C Managed Portfolio Trust plc is 31,209,936 Income shares and 27,439,843 Growth shares.

The above figures (31,209,936 Income shares and 27,439,843 Growth shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, F&C Managed Portfolio Trust plc under the FCA's Disclosure and Transparency Rules.
