SUBJECT: Transaction in Own Shares

The Board of F&C Managed Portfolio Trust plc announces that on 26 August 2009 the Company purchased 270,000 Income shares of 10p each at a price of 75.5p per Income share to be held in treasury and 280,000 Growth shares of 10p each at a price of 73p per Growth share for cancellation.

Following this issue the Company's issued share capital consists of 21,907,192 Income shares and 19,985,567 Growth shares, of which 1,327,000 Income shares and 1,910,000 Growth shares are held in treasury. Therefore the total number of shares with voting rights in F&C Managed Portfolio Trust plc is 20,580,192 Income shares and 18,075,567 Growth shares.

The above figures (20,580,192 Income shares and 18,075,567 Growth shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, F&C Managed Portfolio Trust plc under the FSA's Disclosure and Transparency Rules.
