                    Caterpillar Inc. maintains dividend rate



On October 9, 2002, Caterpillar Inc. declared a quarterly cash dividend of
thirty-five cents ($0.35) per share on its common stock, payable November 20,
2002, to stockholders of record at the close of business October 21, 2002.

This maintains the dividend rate declared for the previous quarter.
