Caterpillar Inc. today declared a quarterly cash dividend of thirty-five 
cents ($0.35) per share on its common stock, payable November 20, 2001, 
to shareholders of record at the close of business October 22, 2001.

This maintains the dividend rate declared for the previous quarter.

Ex-dividend date is Thursday, October 18, 2001.
