Caterpillar Inc. today declared a cash dividend of thirty-four cents ($.34) per
share on its common stock, payable February 20, 2001, to stockholders of record
at the close of business January 22, 2001.

This maintains the dividend rate declared for the previous quarter.

Ex-dividend date is Thursday, January 18, 2001.
