In conformity with the Transparency Directive's Transitional Provision 6, James
Cropper PLC hereby notifies the market that its issued capital comprises
8,359,114 ordinary shares with voting rights. No shares are held in Treasury.

Therefore, the total number of voting rights in the Company is 8,359,114.

The above figure may be used as the denominator for the calculations by which
they will determine if they are required to notify their interest in, or a
change to their interest in, James Cropper PLC under the FSA's Disclosure and
Transparency Rules
