                   Group Re-structuring and Notice of Results


James Cropper PLC (the 'Group') currently transacts the activities of its
Papermaking and Converting businesses as divisions of James Cropper PLC. The
Board proposes to separate these two divisions, with effect from 30 March 2003,
into two separate subsidiary companies. This will enable each subsidiary to have
its own capital structure and will allow for more effective financial
measurement of their individual performance.



As a consequence of the creation of the two new subsidiaries, James Cropper PLC
will become a holding company. The Group's other businesses Technical Fibre
Products Limited and The Paper Mill Shop Limited are already subsidiaries of
James Cropper PLC.



Finally, the Group looks forward to announcing its Preliminary Results
announcement for the year ended 29 March 2003 on 17 June 2003. An analysts'
presentation will be held on the day at Citigate Dewe Rogerson 26 Finsbury
