Directors' Notification of Dealing in Shares

James Cropper PLC (the 'Company')

James Cropper PLC received notification today that the James Cropper PLC Staff
Pension Fund (the 'Fund') sold 25,000 shares in the Company at 324p.  This
sale was to comply with the Funds rules on the percentage of the Fund in value
terms which is allowed to be invested in the Company's shares.  As a result of
the sale, the Fund now holds 241,000 shares representing 3.62 per cent of the
value of the Fund.  This shareholding represents 2.88 per cent of the issued
ordinary capital of the Company.

Two executive Directors Mr John Malcolm Denman and Mr Nigel Anthony Read are
trustees of the Scheme and are therefore deemed to have a non-beneficial
interest.
