Croda International Plc announces that the Trustee of the Croda International
Plc Employee Share Trust ('the Trust') acquired on 5 October 1999 500,000
ordinary shares in the company for the purposes of the Trust at a price of
300p per share.  It is intended that these shares will be used to satisfy
exercises of options under the company's SAYE scheme in respect of employees
and directors.  The directors, in their capacity as potential beneficiaries
under the Trust, are deemed to have acquired an interest in these shares. 
Directors of Croda have SAYE options over such shares as follows:
