Croda announces that Abbey National AESOP Trustees Limited acquired on 11 April
2005, 8,518 ordinary shares in the company for the purposes of the Croda
International Plc Share Incentive Plan at a price of 397.5p per share.  These
shares will be used to satisfy employees' contributions to the Plan deducted
from their March pay.  The directors, as contributors to the plan, have acquired
the following interest in the shares:-
