                              Directorate change

The Company announces the appointment of Mr. Robert Petty and Mr. Michael
Neistat as non-executive directors, effective from 12 December 2002.

Mr. Petty, aged 38, was, from 1997 to 1999, Manager of Electronic Business
Services for e-commerce products for Telstra Corp.

From 1998 to 2002 Mr. Petty worked in New York in various positions including
Chairman and Chief Executive Officer of I.T. Technology Inc., a NASDAQ listed
information technology company, and President of VideoDome Networks Inc., a
middleware streaming media service provider. Mr. Petty is currently a Director
and Chief Executive Officer of ROO Media Corporation.

Mr. Neistat, aged 46, has 20 years' experience in information technology and
related industries having founded Skai Computer Systems Pty Ltd in 1983. In 1999
Mr. Neistat sold Skai to Voicenet (Aust) Ltd, a company listed on the Australian
Stock Exchange. During his two years with Voicenet Mr. Neistat was Chief
Operating Officer for the group encompassing a number of subsidiary roles. On
leaving Voicenet, Mr. Neistat joined the board of I.T. Technology Inc. Mr.
Neistat resigned as director of I.T. Technology Inc. to focus on his role as an
Executive Director of ROO Media Corporation.

Both Mr. Petty and Mr. Neistat were appointed as directors of Software
Communication Group Limited, a company listed on the Australian Stock Exchange,
for an interim period during 2002.

Both Mr. Petty and Mr. Neistat have confirmed that they are not directors of any
other publicly quoted company other than those previously mentioned and that
there is no relevant information to disclose under paragraph 6.F.2 of the
Listing Rules, in relation to their appointment.
