                               Directors dealings

The Company announces that it has received notification that, on 6 June 2003,
ROO Media Corporation transferred its holding of 900,000 ordinary shares in the
share capital of the Company ('Ordinary Shares') equally between Robert Petty
and Michael Neistat, Chief Executive and Executive Director of the Company
respectively. This transfer, effectively at 4.5p per share, was in lieu of
consultancy fees owed by ROO Media Corporation to Robert Petty and Michael
Neistat. Robert Petty and Michael Neistat is each, following this transfer,
beneficially interested in 450,000 Ordinary Shares representing approximately
2.97 per cent. of the issued share capital of the Company.

This transfer follows the announcement by the Company on 6 June 2003 of, inter
alia, the proposed acquisition by the Company of the issued share capital of ROO
Media Europe Limited not currently held by it from ROO Media Corporation.
