In accordance with the requirements of D.T.R 3.1.2, Crest Nicholson Holdings plc (the "Company") was notified on 18 February 2014 of the following transactions by Persons Discharging Managerial Responsibility ("PDMRs").

The following PDMRs have been granted options (exercisable at nil-cost) over 697,517 Ordinary Shares of 5 pence each in the Company (the "Options"), under the Crest Nicholson Holdings plc Long-Term Incentive Plan (the "LTIP") and the Crest Nicholson Holdings plc Deferred Bonus Plan (the "DBP") on 14 February 2014 as shown below:

No payment was required for the grant of the Options.

Subject to the performance conditions attached to the awards being met (relating to profit before tax per share and return on capital employed), the Options are exercisable between 2017 and 2024.

Further details of the LTIP can be found in the Company's IPO Prospectus dated 13 February 2013 and the Company's 2013 Annual Report published on 17 February 2014.

The number of shares subject to the Options has been calculated based on the closing share price on 13 February 2014 in accordance with the rules of the plan.

Subject to certain conditions in respect of service and conduct attached to the awards being met, the Options are exercisable between 2015 and 2024. Further details of the DBP can be found in the Company's IPO Prospectus dated 13 February 2013 and the Company's 2013 Annual Report published on 17 February 2014.

The number of shares subject to the Options has been calculated based on the closing share price on 13 February 2014 in accordance with the rules of the plan.

Exercise of Pre-IPO Share Options

In accordance with the requirements of D.T.R 3.1.2, Crest Nicholson Holdings plc (the "Company") was notified on 18 February 2014 that the following PDMRs exercised options on 18 February 2014 granted to them on 11 February 2013 under the Company's pre-IPO share incentive arrangements over Ordinary Shares of 5 pence each in the Company (Shares) held by the Company's employee benefit trust, as detailed below.

The table below sets out the number of Shares acquired upon exercise and retained by those PDMRs, the exercise price, and total shareholdings following this notification. Sufficient shares have been sold to meet relevant exercise costs, tax and statutory deductions.
