                 PLACING AND OPEN OFFER
            OF 3,520,458 NEW ORDINARY SHARES
      RESULTS OF THE EXTRAORDINARY GENERAL MEETING

Cranswick  plc  ('Cranswick')  announces  that,  at   the
Extraordinary   General  Meeting  of  shareholders   held
earlier today to approve, inter alia, the acquisition  of
Pethick  &  Co.  Limited and an associated property  (the
'Acquisition')  and  the  placing  and  open   offer   of
3,520,458  new ordinary shares of 10p each  in  Cranswick
(the  'Placing  and  Open  Offer  Shares'),  the  special
resolution  to  approve, inter alia, the Acquisition  and
the  issue of the Placing and Open Offer Shares was  duly
passed.

It  is  expected that the Placing and Open  Offer  Shares
will  be admitted to listing on the London Stock Exchange
on  6  October  1999.   CREST  stock  accounts  are  also
expected  to  be credited on that date. Definitive  share
certificates  are expected to be posted  to  shareholders
holding  their shares in certificated form by 15  October
1999.
