Sale of shares

Costain announces that it has been notified on 17 November 2004 that one of its
shareholders, Raymond International WLL ('Raymond International') sold on 15
November 2004 12,512,500 ordinary shares in the Company. Following this
notification Raymond International no longer hold any ordinary shares in the
Company.
