LETTER TO: COMPANY ANNOUNCEMENTS OFFICE
We announced in September 2001 that Mr Miles W Roberts, the Finance Director of
Costain Group PLC, had advised the Company that he intended to resign from the
Board of Costain Group PLC in order to take up another appointment. Mr Roberts'
resignation became effective on 31 December 2001. The Company will make an
announcement concerning his successor in the near future.
