CHARLES JOSEPH McCOLE was appointed to the Board of Costain Group PLC as Finance
Director with effect from Monday, 25 March 2002.  Mr McCole has not held a
directorship in a publicly quoted company on the London Stock Exchange or any
overseas stock exchange in the last five years.   There are no details to report
in respect of paragraphs 6.F 2(b) to (g) of the UK Listing Authority Listing
Rules. Mr McCole was Finance Director of Sodexho UK. 

Mr McCole will join the Company on a full-time basis at the end of April 2002.
