BLOCKLISTING APPLICATION


Application has been made to the Official List of the UK Listing Authority and
to the London Stock Exchange for the admission of 10,511,630 ordinary shares of
5p each in the Company (the 'Shares') by way of a block listing, subject to
future issues of shares under the following Save As You Earn ('SAYE') Schemes:


Costain Group PLC 2002 SAYE Scheme                              7,252,023 Shares

Costain Group PLC 2004 SAYE Scheme                              3,259,607 Shares


The Shares will be issued fully paid and will, upon issue, rank pari passu in
all respects with the Company's existing issued shares.  Admission, subject to
allotment, is expected to occur on 3 December 2007.
