Appointment of new Chief Executive

The Board of Costain Group PLC ('Costain') is pleased to announce that Andrew
Wyllie BSc (Hons), MBA, FICE, CEng has been appointed to the Board of Costain as
Chief Executive with effect from the opening of business on Monday 12 September
2005. Mr Wyllie has not held a directorship in a publicly quoted company on the
London Stock Exchange in the last five years. There are no details to report in
respect of paragraphs LR9.6.13R(2)(II)(vi) inclusive of the Listing Rules.

It was announced on 25 April 2005 that Andrew Wyllie would succeed Stuart
Doughty, CMG, BSc, CEng, FICE as Chief Executive. Accordingly, Mr Doughty
resigned as Chief Executive and as an Executive Director of Costain with effect
from immediately prior to the opening of business on Monday 12 September 2005.
