Directors' Dealing - Exercise of Options

Dated: 6 May 2011

Regency Mines PLC ("Regency" or the "Company") has been notified of the exercise of 3,100,000 options to subscribe for ordinary shares of 0.1p each in the capital of the Company ("Ordinary Shares"). The options have been exercised by directors of the Company, in the following amounts:

Andrew Bell	2,500,000	1.25 pence
John Watkins	500,000	3.5 pence
Edmund Bugnosen	100,000	1.25 pence

As a result of this exercise of options, the enlarged direct interests of Andrew Bell, John Watkins and Edmund Bugnosen in the Company's Ordinary Shares are as follows:

Andrew Bell is in addition indirectly interested in 39,994,280 Ordinary Shares, representing approximately 9.71% of the Company's enlarged issued ordinary share capital.

In addition to their interests in the Ordinary Shares stated above, Messrs. Bell, Watkins and Bugnosen remain interested in the following options to subscribe for Ordinary Shares.

Application will been made for the new Ordinary Shares, which rank pari passu with the Company's existing issued ordinary share capital, to be admitted to trading on AIM and it is expected that the admission will occur on 12 May 2011.

Following the issue and allotment of the new Ordinary Shares, the Company will have 411,856,777  ordinary shares in issue.
