Exercise of Over-allotment Option

Goldman Sachs International, acting as the Stabilisation Manager in connection with the initial public offering of ConvaTec Group Plc ("ConvaTec") has today informed ConvaTec that the following stabilisation measures were carried out during the stabilisation period from 26 October 2016 until 11 November 2016 in relation to the ordinary shares of ConvaTec ("Shares") (ISIN GB00BD3VFW73), which started trading on the London Stock Exchange's premium listing segment of the Official List on 26 October 2016:

The greenshoe option to purchase up to 98,960,249 Shares, granted to Goldman Sachs International (in its capacity as Stabilisation Manager on behalf of the underwriters) by certain ConvaTec shareholders was exercised by Goldman Sachs International on 14 November 2016 in the amount of 45,621,561 Shares.
