The Company was notified on 17 March 2005 that BriTel Fund Trustees Limited, The
Trustees of the BT Pension Scheme had a material interest of 1,505,516 ordinary
shares on 16 March 2005 representing 4.31 per cent. of the issued share capital
of the Company.

These ordinary shares are held in the registered name of BriTel Fund Nominees
Ltd.
