Compass Group PLC 5 July 2000 COMPASS GROUP PLC RECOMMENDED MERGER OF GRANADA GROUP PLC AND COMPASS GROUP PLC RESULTS OF SHAREHOLDER MEETINGS The Board of Compass Group announces that at the Court Meeting and the Extraordinary General Meeting held earlier today, the resolutions to approve the recommended merger of Granada and Compass Group by means of the Scheme of Arrangement dated 12 June 2000 were passed by the requisite majorities of the Company's shareholders. In addition, all other resolutions proposed at the Extraordinary General Meeting were duly passed. Details of these resolutions are set out in the notice of meeting contained within the listing particulars and circular posted to Compass Group shareholders on 12 June 2000. Earlier today, Granada Group's shareholders also passed the resolutions to approve the recommended merger of Granada and Compass Group. Granada and Compass Group expect the merger to be completed at the end of July. The Board of Compass Group further announces that at a further Court Meeting held yesterday, holders of the 5.75 per cent convertible bonds due 2007 issued by Compass Group approved a scheme of arrangement providing for the cancellation of the bonds in exchange for an issue of Granada Compass shares.
