NOTIFICATION AND PUBLIC DISCLOSURE OF TRANSACTIONS BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES AND PERSONS CLOSELY ASSOCIATED WITH THEM

Compass Group PLC (the "Company") announces the following changes in the interests of a Director of the Company and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 11 1/20 pence each in the share capital of the Company ("Shares").

Restricted Share Award release:

Pursuant to the notification issued by the Company on 16 May 2019 in respect of awards made to Ms Karen Witts under The Compass Group PLC Karen Witts Restricted Share Award Plan ("Restricted Plan"), following the satisfaction of the associated performance conditions, on 1 July 2019 a total of 20,803 Shares vested and were released to Ms Witts as detailed below:

Under the Restricted Plan the award marked with (*) was subject to two financial underpins relating to Compass' performance as previously detailed on 16 May 2019.

9,808 Shares were subsequently sold to cover resultant tax and social security liabilities, with a balance of 10,995 Shares being retained by Ms Witts. Following this transaction Ms Witts has a shareholding of 10,995 Shares equating to 0.0007 percent of the issued share capital (excluding treasury shares).

All net shares vesting must be retained until the Company's Share Ownership Guidelines for executive directors have been met. Full details will also be disclosed in the relevant Directors' Remuneration Report.

The following notification has been made to the Financial Conduct Authority in accordance with the requirements of the EU Market Abuse Regulation in respect of the above:
