An Ordinary and Extraordinary General Meeting of shareholders of Compagnie de
Saint-Gobain was held on Thursday June 29th, 2000 in Paris.  Around 42% of the
stockholders' equity was present or represented.

The Meeting notably appointed Mr Daniel BERNARD, Chairman and Chief Executive
Officer of Carrefour, as director of Compagnie de Saint-Gobain.

The Meeting also approved the distribution of a net dividend of EUR 3.60 (FF
23.61) per share, to which should be added a tax credit of EUR 1.80 (FF 11.81).
The payment date was fixed to Monday 3rd, July 2000.

In addition, the Board of Directors, at its meeting today before the General
Meeting, cancelled 3.85% of the share capital.
