                           Purchase of Own Securities

On 21st May 2004 Colefax Group plc bought for cancellation a total of 1,000,000
shares of 10 pence each (representing 5.24 per cent of the issued ordinary share
capital of the Company) at a price of 93 pence per share.

Following the cancellation of these shares there will be 18,090,000 shares in
issue.
