                           Purchase of Own Securities


On 5th September 2002 Colefax Group Plc bought for cancellation a total of
200,000 ordinary shares of 10 pence each (representing 0.95 per cent of the
issued ordinary share capital of the Company) at a price of 74 pence per share.

Following the cancellation of these shares there will be 20,760,100 shares in
issue.
