                         Purchase of Own Securities

On 24th January 2002 Colefax Group Plc bought for cancellation a total of
360,000 ordinary shares of 10 pence each (representing 1.51 per cent of the
issued ordinary share capital of the Company) at a price of 71 pence per share.

On 25th January 2002 Colefax Group Plc bought for cancellation a total of
100,000 ordinary shares of 10 pence each (representing 0.42 per cent of the
issued ordinary share capital of the Company) at a price of 71 pence per share.

Following the cancellation of these shares there will be 23,324,896 shares in
issue.
