                       Colefax Group plc ('the Company')

                            Issue of ordinary shares


Following the exercise of share options pursuant to the Colefax Group Plc 1988
Executive Share Option Scheme, application has been made to the UK Listing
Authority for 124,361 new ordinary shares of 10p each to be admitted to the
Official List, and to the London Stock Exchange for admission to trading on the
London Stock Exchange's market for listed securities.  It is expected that
admission will occur and dealings will commence on 14 March 2003.

Following the above issue, the Company's issued ordinary share capital will be
20,184,461 shares.
