Director's shareholding


The Company was notified on 5 April 2008 that Mr Ian Dale-Staples, a director of
Cohort plc, gifted 2,063,089 ordinary shares at a price of 171p on 4 April 2008
to The Trustees of the Ian Dale-Staples Settlement 2008. The beneficiary of the
Ian Dale-Staples Settlement 2008 is Ian Dale-Staples and the Trustees are Mrs
Hannah Dale-Staples and Target Trust Corporation Ltd.

This transfer does not alter Mr Dale-Staples total beneficial shareholding of
2,063,089 ordinary shares, which represents 5.1 per cent of the of the issued
share capital of the Company.'
