DISCLOSURE UNDER RULE 3 OF THE RULES GOVERNING SUBSTANTIAL ACQUISITION OF 
SHARES:

DAWSON INTERNATIONAL PLC

Guinness Peat Group plc and its subsidiary companies ('GPG') announce that, 
following the purchase of 1,728,250 shares of Dawson International PLC 
('Dawson'), on 7 December 2001 it increased its holding of ordinary shares of 
50p each in Dawson ('shares') to 26,061,833 Shares representing 25.725% of the 
issued share capital of Dawson.

No person interested in the Shares is party to any agreement or arrangement 
relating to the exercise of any rights conferred by holding the Shares subject 
to this notification.
