DISCLOSURE UNDER RULE 3 OF THE RULES GOVERNING SUBSTANTIAL 
ACQUISITION OF SHARES:
DAWSON INTERNATIONAL PLC

Guinness Peat Group plc and its subsidiary companies ('GPG') announce that, 
following the purchase of 1,000,000 shares of Dawson International PLC 
('Dawson'), on 6 December 2001 it increased its holding of Shares to 24,333,583 
ordinary shares of 50p each in Dawson ('Shares') representing 24.01% of the 
issued share capital of Dawson.

So far as the Group is aware, no person interested in the Shares is party to any
agreement or arrangement relating to the exercise of any rights conferred by 
holding the shares subject to this notification.
