DISCLOSURE UNDER RULE 3 OF THE RULES GOVERNING SUBSTANTIAL ACQUISITION OF 
SHARES:

DAWSON INTERNATIONAL PLC

Guinness Peat Group plc and its subsidiary companies ('GPG') announce that, 
following the purchases of 750,000 ordinary shares of 50p each ('Shares') of 
Dawson International PLC ('Dawson') on 20 December 2001, and 250,000 Shares on 
21 December 2001 it increased its holding to 27,311,833 Shares representing 
26.96% of the issued share capital of Dawson.

No person interested in the Shares is party to any agreement or arrangement 
relating to the exercise of any rights conferred by holding the Shares subject 
to this notification.
