GPG Finance plc

NZX announcement

GPG Finance plc (GFN) hereby gives notice that Guinness Peat Group plc (GPG) has provided notice of the exercise of its option to purchase the capital notes issued by GFN with an election date of 15 December 2013 (2008 Notes) to holders of 2008 Notes, pursuant to the Capital Note Trust Deed (as amended and restated) dated 25 July 2003 (Trust Deed).

The purchase will be carried out in accordance with condition 4.5A of the 2008 Notes.  In accordance with that condition 4.5A, notice (Notice of exercise of option to purchase Capital Notes) is being given to holders of 2008 Notes.

Holders of 2008 Notes are not required to take any action in connection with the Notice of exercise of option to purchase Capital Notes.

On 15 March 2012:

(1)          holders of 2008 Notes on the Record Date (5.00pm on 2 March 2012) will be paid an amount equal to the aggregate of the principal amount of the 2008 Notes held at that date and all accrued interest in respect of such notes from the previous interest payment date of 15 December 2011 until 15 March 2012 (inclusive); and

(2)          the 2008 Notes will be automatically transferred to GPG.

The timetable for the exercise of the call option and purchase of the 2008 Notes is set out below:

The upcoming regular quarterly interest payment for the 2008 Notes due on 15 September 2011 will be paid to holders of the 2008 Notes on the register at 5.00pm on Friday 2 September 2011.
