     Disposal of Microsense Systems Limited ('MSL')
                            
The Company announces that it has entered into an
agreement with Traffic Signals UK Limited to sell its 60%
holding in MSL, the group's traffic business for a
nominal fee of £60.  The agreement is subject to due
diligence.

In the year ended 31 March 1999, MSL made losses before
tax of £559k. At 31 March 1999, MSL had net liabilities
of £537k.

As indicated in the Company's preliminary results, MSL's
results have been disappointing.  The disposal of the
business will enable the Company to focus its resources
on its core activities.
